Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (or the business you represent, "Customer," "you") and Hubmission LLC ("Hubmission," "we," "us") governing your purchase and use of EscrowIQ and any other software or service we make available (the "Software"). By checking the acceptance box during checkout, or by installing, accessing, or using the Software, you agree to these Terms. If you don't agree, don't purchase, install, or use the Software.
1. License grant
Subject to these Terms and payment of applicable subscription fees, Hubmission grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software, solely for your own internal business purposes, for as long as your subscription remains active and in good standing. This is a license to use the Software — it is not a sale. Nothing in these Terms transfers any ownership interest in the Software to you.
2. Ownership
The Software — including its source code, object code, structure, design, obfuscated binaries, algorithms, user interface, and all associated documentation — is and remains the exclusive property of Hubmission. All right, title, and interest in and to the Software, including all intellectual property rights (copyrights, patents, trade secrets, trademarks, and any other proprietary rights), are and will remain owned solely by Hubmission. This license does not grant you any rights to Hubmission's trademarks, logos, or brand features.
3. Restrictions
You agree that you will not, and will not permit or assist any third party to:
- reverse engineer, decompile, disassemble, decrypt, de-obfuscate, or otherwise attempt to derive or reconstruct the source code, underlying structure, ideas, or algorithms of the Software, in whole or in part, except to the limited extent applicable law expressly prohibits this restriction;
- copy, reproduce, modify, translate, or create derivative works of the Software;
- distribute, sell, resell, rent, lease, sublicense, lend, or otherwise transfer the Software or your license to any third party;
- circumvent, disable, or interfere with any license verification, obfuscation, security, or other protective measure built into the Software;
- remove, obscure, or alter any copyright, trademark, or other proprietary rights notice contained in the Software;
- use the Software to build, train, or inform a competing product or service; or
- use the Software beyond the number of installations, users, or other scope limits included in your subscription.
A violation of this section is a material breach of these Terms and grounds for immediate termination of your license, in addition to any other remedies available to Hubmission at law or in equity — including injunctive relief, since a breach of this kind may cause harm that money alone can't fully undo.
4. Your data
You retain all ownership of your own business data, including anything read from or generated out of your SoftPro Select database. Hubmission claims no ownership over your data. As explained in our Privacy Policy, that data stays on your own server and is never transmitted to us, except through features you explicitly enable and configure yourself (such as Report Subscriptions).
5. Subscriptions, billing, and cancellation
Subscription fees are billed in advance on a recurring basis and, unless otherwise stated at purchase, renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of your current billing period, and we don't provide refunds for partial periods except where required by law. We may change subscription pricing for future billing periods with reasonable advance notice.
6. Term and termination
These Terms remain in effect for as long as you use the Software. We may suspend or terminate your license if you fail to pay applicable fees or breach any provision of these Terms, particularly Section 3. Upon termination for any reason, your right to use the Software ends immediately and you must uninstall it and destroy any copies in your possession.
7. Warranty disclaimer
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Software will be uninterrupted, error-free, or that any data it produces will be accurate for every purpose you put it to — you remain responsible for verifying outputs against your own source data before relying on them.
8. Limitation of liability
To the maximum extent permitted by law, Hubmission will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Software. Hubmission's total liability for any claim arising out of these Terms will not exceed the amount you actually paid us in the twelve months preceding the claim.
9. Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles, and any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Tennessee.
10. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll update the effective date above; continued use of the Software after a change means you accept the updated Terms.
